1. Parties, acceptance and scope
1.1 This End User Licence Agreement ("EULA") is between you, the person installing or using the SENA application ("you"), and Thoth AZ Solutions S.R.L., Str. Piața Falezei nr. 6, demisol, camera 2, 800077 Galați, Romania, Trade Register J17/936/2022, CUI 46249620 ("SENA", "we"). By installing, opening or using the SENA app for iOS, Android, macOS or Windows (the "App") you accept this EULA. If you do not accept it, do not install or use the App.
1.2 The App is a client for the SENA service. If you use the App on behalf of an organisation that holds a SENA subscription, that organisation's Customer Terms of Service (sena.systems/terms, the "Terms") and Data Processing Agreement govern the service, your organisation's data and billing. This EULA governs the software on your device. In case of conflict about the service, the Terms prevail; about the software copy, this EULA prevails. The App is not offered to consumers or to anyone under 18; accounts are created by organisations on the web, not in the App.
1.3 Express acceptance of specific clauses. You confirm that you expressly accept, in a step separate from your general acceptance and recorded with the version, date, time and your user identity, the following clauses, which may qualify as unusual standard clauses under Civil Code art. 1203: §8 (warranty and sole remedy), §9 (limitation of liability), §11 (termination) and §13 (governing law and jurisdiction).
2. Licence
2.1 Subject to this EULA, SENA grants you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, solely to access the SENA service through an account your organisation authorises.
2.2 For copies obtained through the Apple App Store, the licence is limited to a non-transferable licence to use the App on Apple-branded devices that you own or control, as permitted by the Usage Rules in the App Store Terms of Service, except that the App may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
2.3 For copies obtained through Google Play, Google grants you, under the Google Play Developer Distribution Agreement, a non-exclusive, worldwide, perpetual licence to perform, display and use the App copy you downloaded; where that agreement conflicts with this EULA, it prevails for the Google Play copy. Your right to access the SENA service through the App remains governed by the Terms.
2.4 The App is licensed, not sold. SENA and its licensors keep all rights not expressly granted.
3. Restrictions
You will not, and will not let anyone else: copy the App except for one backup; modify, translate, adapt or create derivative works of it; reverse-engineer, decompile, disassemble or otherwise try to obtain its source code, except to the extent the law allows despite this clause; remove or alter notices; rent, lease, lend, sell, sublicense, distribute or make the App available to third parties; use it to build a competing product; circumvent security or licence controls; use it on a device whose operating-system security has been disabled (jailbroken or rooted), and the App may refuse to run on such devices; or use it in breach of the Acceptable Use Policy in the Terms.
4. What the App does on your device
4.1 Connection to the service. The App is a client. Your organisation's data lives in the SENA service on EU infrastructure; the App displays it and lets you work with it. The App does not work without an account and a network connection, except for the offline cache below.
4.2 Local data. The App stores on the device: your session token (in the platform's secure storage: Keychain on Apple devices, Keystore on Android, the operating-system credential store on desktop); interface preferences; and a cache of recently viewed content and drafts so the App opens fast and works briefly offline. Cached content is protected by the platform's file encryption and is deleted when you sign out, when you uninstall, and, at the next launch with network connectivity, when your organisation's admin revokes your access.
4.3 Device permissions. The App asks for a permission only when a feature needs it and you can refuse each one: notifications (briefings, approvals waiting for you); camera (to scan documents); biometrics (to unlock the App, handled by the operating system; SENA never receives biometric data). Photos and files are attached through the system picker, which shows SENA only the items you choose and needs no library or storage permission. The App does not request access to your location, contacts, calendar or microphone.
4.4 Notifications are delivered by Apple Push Notification service (Apple Inc.) on Apple devices and by Firebase Cloud Messaging (Google LLC) on Android. A notification carries a title and a one-line hint (for example "Your morning briefing is ready" or "Approval waiting: invoice draft"); it never carries message bodies, document contents or the text of AI outputs, which the App fetches over an encrypted connection after you open it. You control notifications in the App and in the operating-system settings.
4.5 Telemetry. The App reports crashes and performance data to our own error-tracking servers. The App contains no advertising or tracking SDKs; the full list of its third-party software components is in Settings → About.
4.6 Updates. The App may check for and install updates automatically through the store or its own updater. Some updates are required for security or compatibility; the App may stop working with the service until you update.
4.7 AI features. To generate answers, briefings and drafts the App sends the content you ask about (documents, records, connected mail and calendar data) to our EU inference provider named at sena.systems/ai; the App asks for your acknowledgement before the first use, and your organisation's admin can disable AI features for your workspace. AI outputs are labelled, can be wrong, and any action they propose in your records or in a connected system requires explicit approval in the App before it is executed (Terms §9).
4.8 Account deletion. You can request deletion of your account from the App in Settings → Privacy; the Privacy Policy section 6 explains what happens next (immediate loss of access, 30-day grace period, then permanent deletion). Deleting your user account does not delete your organisation's business records.
5. Privacy
Our processing of your personal data is described in the Privacy Policy at sena.systems/privacy, including the "App data" row in its section 3. Your organisation is the controller of the business data you see in the App.
6. Third-party components
The App includes open-source and third-party components licensed under their own terms, listed in the App under Settings → About → Licences. Those terms apply to those components; nothing in this EULA restricts rights granted by them.
7. Maintenance and support
SENA alone is responsible for maintenance and support of the App. Support: support@sena.systems, in-app help, and the response targets in your organisation's plan (Terms, Annex B). Apple, Google, Microsoft and any other distributor have no obligation to provide maintenance or support for the App.
8. Warranty
8.1 The App is provided free of charge as a client for the SENA service (the App itself has no price). We will use reasonable efforts to fix reported defects in the App; the service warranty in the Terms applies to the service, not to this App copy.
8.2 Except as stated in 8.1 and 8.3, the App is provided "as is" and, to the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. AI outputs are not warranted for accuracy (Terms §9.2).
8.3 Apple. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if any). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are SENA's sole responsibility.
9. Liability
To the maximum extent permitted by law: we are not liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or data, or for loss caused by your device, network, or third-party services. Our total liability to you under this EULA is limited to EUR 100. If you use the App through an organisation that holds a SENA subscription, our liability to you and to that organisation, combined, for any event is subject to the single aggregate cap in that organisation's Terms (§14.4) and is not increased by this EULA; any claim relating to the service or to the organisation's data is brought by the organisation under the Terms, not by you under this EULA. Nothing limits liability for death or personal injury caused by negligence, fraud, intent or gross negligence (Civil Code art. 1355), or anything that cannot be limited by law.
10. Product claims, intellectual property claims and legal compliance
10.1 SENA, not Apple, Google or Microsoft, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims under consumer protection, privacy or similar legislation.
10.2 Intellectual property claims. In the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, SENA, not Apple, is solely responsible for the investigation, defence, settlement and discharge of the claim.
10.3 Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a comprehensive embargo by the European Union, the United States or the United Nations, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any EU, UN or U.S. Government list of prohibited, restricted or sanctioned parties. You will comply with export-control laws applicable to the App.
10.4 Third-party terms. You must comply with any applicable third-party terms when using the App, for example your mobile carrier's data agreement, your organisation's device policies and the terms of any connected service.
11. Term and termination
This EULA lasts until terminated. It terminates automatically if you breach it, if your organisation's subscription or your access is ended, or if we withdraw the App from distribution with 30 days' notice. You may terminate by uninstalling the App. On termination you must stop using and delete the App; sections 3, 6, 8.2, 9, 10, 13 and 14 survive.
12. Changes
We may update this EULA. Material changes will be shown in the App before they take effect and, where you are a user of a paying organisation, notified per the Terms; clauses listed in §1.3 apply only after the express acceptance described there. Prior versions: sena.systems/eula/history.
13. Governing law and courts
Romanian law governs. The courts of Bucharest have exclusive jurisdiction, without prejudice to mandatory rules that give you the right to be sued at home in another EU member state. This EULA is published in English, which governs. Any translation we publish is for convenience.
14. Platform-specific terms
14.1 Apple. You and SENA acknowledge that this EULA is concluded between you and SENA only, not with Apple, and that SENA, not Apple, is solely responsible for the App and its content. Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce it against you as a third-party beneficiary. The licence in this EULA is no less restrictive than the Usage Rules in the App Store Terms of Service; if they conflict for the Apple copy, the Usage Rules prevail.
14.2 Google Play. For copies obtained through Google Play, the Google Play Terms of Service and the Google Play Developer Distribution Agreement apply in addition; where this EULA conflicts with them for that copy, they prevail. Google is not a party to this EULA and is not responsible for the App.
14.3 Microsoft Store and direct desktop download. For copies obtained from the Microsoft Store, the Microsoft Store terms apply in addition. For copies downloaded directly from sena.systems, only this EULA applies; verify the code signature before installing.
